These Terms of Use ("Terms") govern your access to and use of the website www.logosaudibles.com and any related content, features, products or services (collectively, the "Services") provided by Logos Audibles Africa Ltd ("Logos Audibles," "we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree, do not access or use the Services. If you are using the Services on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

You must be at least 13 years old (or the minimum age of digital consent in your jurisdiction) to use the Services. By using the Services, you represent that you meet this requirement. If you are under the age of majority in your jurisdiction, you may only use the Services with the involvement of a parent or legal guardian.

We may update these Terms from time to time. We will post the revised Terms on this page with an updated "Last Updated" date. Material changes will be highlighted where required by law. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

If you create an account, you agree to:

• Provide accurate, current and complete information;
• Maintain the security of your password and account credentials;
• Promptly update your information as needed;
• Notify us immediately of any unauthorised use of your account.

You are responsible for all activity that occurs under your account. We are not liable for any loss arising from unauthorised use of your account.

5.1 License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal, non-commercial purposes, unless otherwise agreed in writing.

5.2 Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable law or regulation;
• Upload or transmit content that is defamatory, obscene, harassing, hateful, infringing or otherwise objectionable;
• Impersonate any person or entity, or misrepresent your affiliation;
• Interfere with or disrupt the integrity or performance of the Services (e.g., via malware, denial-of-service attacks or unauthorised scraping);
• Attempt to gain unauthorised access to the Services, other accounts, or related systems or networks;
• Use any automated means (bots, scrapers, crawlers) to access the Services without our prior written consent;
• Reproduce, duplicate, copy, sell, resell or exploit any portion of the Services without authorisation;
• Upload content that infringes the intellectual property, privacy or other rights of any third party.

We reserve the right to investigate and take appropriate action, including suspending or terminating accounts and reporting to law enforcement, for any violation of this section.

If the Services allow you to submit, upload or publish content ("User Content"), you retain ownership of your User Content. By submitting User Content, you grant Logos Audibles a worldwide, non-exclusive, royalty-free, sublicensable and transferable license to use, reproduce, distribute, prepare derivative works of, display and perform your User Content in connection with operating and promoting the Services.

You represent and warrant that you own or have the necessary rights to your User Content and that it does not violate any third party's rights or applicable law. We reserve the right, but have no obligation, to monitor, review, remove or edit User Content at our discretion.

The Services, including all text, graphics, logos, audio, images, software and other content (excluding User Content), are owned by or licensed to Logos Audibles and are protected by copyright, trademark and other intellectual property laws. Except as expressly permitted, you may not copy, modify, distribute, sell or create derivative works based on the Services without our prior written consent. If you believe content on the Site infringes your intellectual property rights, please contact us at the email in Section 16 with sufficient detail for us to investigate.

If the Services include the purchase of products, subscriptions or paid content:

• All prices are as displayed at the time of purchase and are subject to change;
• Payments are processed by third-party payment processors; we do not store full payment card details;
• You agree to provide accurate billing information and authorise us (or our processor) to charge the applicable fees;
• Except as required by law or as otherwise stated at the point of sale, fees are non-refundable;
• Subscriptions, if offered, may renew automatically unless cancelled prior to the renewal date, as described at sign-up.

We reserve the right to change our pricing or discontinue products/services at any time, with notice where required by law.

The Services may contain links to third-party websites, content or services that are not owned or controlled by us. We are not responsible for the content, policies or practices of any third-party sites. Your use of third-party sites is at your own risk and subject to their own terms.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED. YOU USE THE SERVICES AT YOUR OWN RISK.

TO THE FULLEST EXTENT PERMITTED BY LAW, LOGOS AUDIBLES AFRICA AND ITS OFFICERS, DIRECTORS, EMPLOYEES AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

You agree to indemnify, defend and hold harmless Logos Audibles Africa and its officers, directors, employees and agents from any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising from your use of the Services, your User Content, or your violation of these Terms or applicable law.

We may suspend or terminate your access to the Services at any time, with or without notice, for conduct that we believe violates these Terms, is harmful to other users, us or third parties, or for any other reason at our discretion. You may stop using the Services or delete your account at any time. Sections that by their nature should survive termination (including Sections 7, 10, 11, 12 and 14) will survive.

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law principles, unless mandatory consumer protection laws of your country of residence provide otherwise. Any dispute arising from these Terms or the Services will first be attempted to be resolved informally by contacting us at the email below. If informal resolution fails, disputes will be subject to the exclusive jurisdiction of the courts of Abuja, Nigeria, except where applicable law requires otherwise (e.g., certain EU or California consumer protections).

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Logos Audibles regarding the Services.
• Severability: If any provision is found unenforceable, the remaining provisions will remain in full force and effect.
• No Waiver: Our failure to enforce any right or provision will not be deemed a waiver of such right or provision.
• Assignment: You may not assign these Terms without our prior written consent; we may assign these Terms without restriction.
• Force Majeure: We are not liable for any failure to perform due to causes beyond our reasonable control.
